This CGI programme seeks to provide students with the knowledge and practical understanding of the key areas within Corporate Compliance and Governance, fostering employability and transferable skills throughout the programme. The programme provides a pathway to further professional qualifications such as the CGI Chartered Governance Qualifying Programme.
The programme consists of four modules as follows:
- Module 1: The Company
Includes: the role of the company secretary/governance professional; types of companies and how they are incorporated; the role and members of the board; directors’ duties and responsibilities; the types and roles of the key stakeholders within a company. - Module 2: Corporate Compliance and Administration
Includes: the law and regulation that affects companies; statutory registers, records and returns; share registration and transfers; the payment of dividends; employee share schemes; the annual report and accounts. - Module 3: Governance
Includes: the concept and context of governance; governance frameworks; approaches to assess, mitigate and report on risk; the importance of organisational systems and internal controls in the governance of a company; environmental, social and governance (ESG); the governance of information. - Module 4: Meetings
Includes: types of company meetings; the law and practice relating to meetings; meeting design and facilitation; effective decision making process; the role of the company secretary before, during and after meetings; minute writing.
Entry requirements: It is recommended that the applicant has at least two years previous work experience, preferably in a related occupation, or an academic qualification equivalent to at least RQF level 3. Students without relevant work experience or an RQF level 3 qualification will be interviewed to assure the programme is suitable for their learning needs. All applicants will be required to provide their CV on enrolment.
Course duration: 9 months
Course start date: October 2025 (exact date TBC)
Course structure: The course involves a combination of live online lectures, e-learning and private study using the dedicated study manual and other recommended reading.
Level: This is a Level 4 qualification, set at the same academic level as a first year undergraduate degree.
